Terms of Service
These Terms of Service ("Terms") govern the use of Rainy Day Logic data provider services ("we", "our"), operated by a self-employed individual (sole proprietor), made available through Databricks Marketplace and related channels. The full civil identification of the provider (name and CPF) is provided directly to the Client in the contract or tax document issued in each engagement.
1. Acceptance of Terms
By accessing, purchasing, or using our datasets, you ("Client", "you") agree to be bound by these Terms. If you do not agree, do not use our services.
2. Service Description
Rainy Day Logic provides datasets derived from official Brazilian public sources, including (without limitation): Politically Exposed Persons (PEP) lists, Cadastro de Empresas Inidôneas e Suspensas (CEIS), Cadastro Nacional de Empresas Punidas (CNEP), national sanctions, and public procurement data, distributed via Databricks Marketplace and Delta Sharing.
3. Nature of Data and Sources
The underlying data originates from official publications of Brazilian government bodies (Portal da Transparência, Central Bank, Controladoria-Geral da União, PNCP, among others) and is in the public domain. Rainy Day Logic performs collection, standardization, versioning, and technical availability of this data, but is not the primary source and has no control over the accuracy of the original data.
4. Legal Basis for Processing
The processing of personal data contained in the datasets (names, CPF, positions of public agents and sanctioned persons) is based on legitimate interest (Art. 7, IX, and Art. 10 of LGPD) for purposes of anti-money laundering prevention, due diligence, regulatory compliance, and risk management, and in compliance with legal or regulatory obligation (Art. 7, II) when applicable to the Client. No data is collected beyond what is already officially published by the primary source.
5. Permitted Use
You may use the datasets exclusively for legitimate compliance, anti-money laundering prevention, risk management, and due diligence purposes. It is expressly prohibited to use the data for: discriminatory practices, harassment, surveillance of individuals outside the compliance context, direct marketing to individuals identified in the datasets, or any illegal purpose.
6. Client Responsibility as Controller/Operator
By downloading, storing, or processing the data, you become a controller or operator, as the case may be, for LGPD purposes regarding the use you make of the data. You are responsible for ensuring your own legal basis for your specific use, for the security of the data in your possession, and for responding to any data subject requests related to your own downstream processing.
7. Data Accuracy and Updates
We strive to keep data updated according to the period informed in each listing, but we do not guarantee integrity, accuracy, or timeliness. You should verify critical information in the official source before decisions that affect third parties.
8. Disclaimer of Warranties
The datasets are provided "as is" without express or implied warranties, including merchantability, fitness for a particular purpose, or non-infringement.
9. Limitation of Liability
Rainy Day Logic shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from the use of the datasets, including commercial, regulatory, or judicial decisions made based on them.
10. Intellectual Property
The curation, standardization, structuring, and technical enrichment of the data are intellectual property of the provider responsible for Rainy Day Logic. The underlying raw data remains in the public domain. You may not redistribute, resell, or create derivative works of the curated datasets without written authorization.
11. Data Protection
The use of the datasets must comply with LGPD and, when applicable to your case, other data protection legislation relevant to your jurisdiction. Please refer to our Privacy Policy for details.
12. Billing
As this is a service provided by a self-employed individual (sole proprietor), billing is done via autonomous payment receipt (RPA) or individual service tax invoice (nota fiscal avulsa), according to applicable municipal legislation, and not via corporate electronic invoice (NF-e).
13. Suspension and Termination
We reserve the right to suspend or terminate your access in case of violation of these Terms, misuse of data, or legal determination.
14. Applicable Law and Jurisdiction
These Terms are governed by the laws of Brazil. The jurisdiction of the district of São Paulo/SP is elected to resolve any controversies, with waiver of any other, however privileged it may be.
